By completing the online registration form you hereby agree and accept these Terms of Collaboration (the "Terms of Collaboration"), which set out the principles according to which EveryMatch International Ltd., a private company, organized and existing under the laws of the state of Israel, Company No.514795608, with its registered offices at 1 Haodem St. Petah-Tikva, Israel (the “Company”) and you (the "Launch partner") will collaborate in good faith in promoting Pridu app for the LGBT community.

What is Pridu

The Company developed an App solution for building activity based communities ("Pridu" or the "App"), and its goal is to create the largest LGBTQ active community globally. Pridu helps people from the LGBTQ community to connect and "GET ACTIVE IN REAL LIFE".

With Pridu, users can find the right people to get active with in their favorite activity within Pridu's LGBTQ community. From sports and travel, to support, nightlife and much more, Pridu features a variety of social activities users can join, create or meet people who like the same activity. Each activity was hand selected to suit the community needs.

 

The Company's Smart Matching Algorithm helps the users find the perfect partner for any activity.

Following the launch of the App, the Company will continue to promote the App in order to add additional activities and services as will be needed by the community.

The Collaboration Concept

The Company shall allow the Launch partner to create and promote its own events and groups, invite its members to the community, and enjoy all benefits of the App for no cost at all and the Launch partner will promote the App to its community members and create events and groups in the App.  

Main Benefits for the Launch partner

The Launch partner will be allowed to:

• Create and promote its own branded profile within Pridu.

• Add its events and activities, which will be then targeted and promoted to all of pridu community. This will allow Pridu's users to easily find and join its events.

• Create its own group /community (public or private) within Pridu.

• Expose and promote its brand and activities to a much wider audience in an authentic and targeted way.

• Promoting the activity on Pridu social media platforms

• Provide marketing, communication and an engagement tool for its existing community.

• Establish a direct channel between the Launch partner and the community.

• Be a part of a selected group of Launch partners, with strong synergies.

• Benefit from a new marketing and engagement channel with a highly targeted audience

• Benefit from all the above and more for no cost at all.

• The Company will provide the Launch partner with customized co-branded media kit (the "Media Kit").

• The Affiliate's logo will be posted on Pridu's website.

The Launch partner's responsibilities

The Launch partner will be responsible to:

• Promote the App to its community members at the launch period and so on.

• Create events and groups in the App.

• Maintain the groups and create on going events

Legal clarifications

• These Terms of Collaboration are governed by the provisions of the Company's general terms & conditions (as may be amended from time to time) ("GT&C") in the following link : ____________. In the event of a conflict or inconsistency between these Terms of Collaboration and the terms and conditions of the GT&C, the terms and conditions of the GT&C shall prevail and supersede the provisions of these Terms of Collaboration in all respects.

• It is hereby clarified that these Terms of Collaboration only sets out the principles for the collaboration between the parties hereto and do not constitute a binding agreement or commitment of either party.

• Neither these Terms of Collaboration nor the collaboration between the parties hereunder shall be construed as creating any partnership, joint venture, employment relationship or any other similar relationship between the Company and the Launch partner, and neither party hereto shall be liable for the debts or obligations of the other party hereto. The Launch partner hereby explicitly, voluntarily, irrevocably and unconditionally waives, releases and forever discharges the Company of and from any and all demands, actions or causes of action, suits, claims, charges, complaints, promises and contracts, whether in law or in equity, which it has or may claim to have in the future against the Company with respect to the existence of any partnership, joint venture, employment relationship or any other similar relationship between the Launch partner and the Company.

• The benefits for the Launch partner (as specified above), the App and the Media Kit, are provided by the company on an "as is" basis, without any representations or warranties of any kind whatsoever, and all implied and/or statutory representations and/or warranties, including, but not limited to, warranties of marketability, fitness for a particular purpose and performance, are all expressly disclaimed to the fullest extent permitted by law. The Company will not be held liable if the benefits for the Affiliate and/or the App and/or the Media Kit fail in obtaining their essential purposes.

• The Launch partner hereby grants the Company with a non-transferable, fully paid, worldwide license to use and display Launch partner's name, logos and trademarks for identifying the Launch partner as a customer / Launch partner of the Company (including, without limitation in Pridu's website).
